Terms of Use
Please read these terms carefully. Section 17 contains an agreement to resolve disputes through individual arbitration and a waiver of class actions. Section 5 explains that research use only products are not for human or animal use.
1. Acceptance of these terms
These Terms of Use ("Terms") are an agreement between you and PepTech Partners ("PepTech," "we," "us," or "our"). They govern your use of our partner website, peplogicspeptides.com, our partner application, partner portal, and related services (the "Services"). By using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services for a business, you agree on behalf of that business and confirm you have authority to bind it. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 21 years old and legally able to enter contracts to use the Services. The Services are offered to businesses and professionals: clinics, physicians, med spas, medical practices, qualified research buyers and resellers, brand founders, and affiliates. We may ask for proof of business status, licensure, or credentials, and we may decline or end access if you cannot provide it.
3. Business services and partner agreements
The website describes programs available to business partners. It is not an offer that can be accepted by submitting a form. Each partnership is governed by a separate written agreement (a "Partner Agreement") that sets out pricing, minimums, responsibilities, and other terms. If a Partner Agreement conflicts with these Terms, the Partner Agreement controls for that partnership.
4. Applications and accounts
Submitting a partner application does not guarantee acceptance. We review applications at our discretion and may decline any application without giving a reason. If we give you access to the partner portal, you are responsible for keeping your login credentials confidential and for all activity under your account. Tell us right away at the contact address below if you believe your account has been used without permission. Information you give us must be accurate and kept up to date.
5. Research use only products
All research use only ("RUO") products sold by PepTech or through PepTech programs are intended solely for in vitro laboratory research and development. They are not for human or animal consumption, injection, ingestion, or any other use on a person or animal.
RUO products are not drugs, dietary supplements, foods, cosmetics, or medical devices. They have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) and are not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition. Any product names, descriptions, purity figures, or images on the Services are provided for identification only and are not claims about effects in humans or animals.
By buying, reselling, or white-labeling RUO products, you represent and agree that:
- You are a qualified business or researcher and will handle RUO products only by or under the supervision of trained personnel in a suitable laboratory setting.
- You will not use, sell, label, market, or describe RUO products for human or animal use, and you will not make any health, therapeutic, dosing, or performance claims about them.
- You will label every RUO product you sell, including under your own brand, as "For research use only. Not for human consumption," and keep that labeling on all packaging, listings, and marketing.
- You will comply with all federal, state, and local laws that apply to buying, storing, reselling, and shipping RUO products, including restrictions on where they can be shipped.
- You are solely responsible for how you and your customers use RUO products after delivery.
We may refuse, cancel, or limit any order, and may suspend or end any partnership, if we believe a product will be used or marketed for human or animal use or in violation of these Terms or the law. We may report suspected misuse to authorities.
6. White-label, fulfillment, and dropship
If you use our white-label, warehousing (3PL), or dropship services, your Partner Agreement governs the details. Unless it says otherwise:
- You are responsible for your brand, your storefront, your marketing, your customer relationships, and your compliance with the laws that apply to your business, including advertising, consumer protection, and sales tax rules.
- You must provide labeling and packaging artwork that meets our requirements and these Terms, including the RUO statements in section 5. We may refuse artwork or listings that do not comply.
- You grant us a limited license to use your trademarks and artwork only to produce, label, store, and ship your products.
- Inventory storage, order handling, shipping times, and risk of loss are set out in your Partner Agreement.
7. Telehealth and regenerative medicine programs
PepTech is not a healthcare provider and does not practice medicine. Telehealth and regenerative medicine services offered through PepTech programs are provided by independent, licensed physicians, nurse practitioners, and other healthcare professionals and their professional entities ("Providers"). PepTech provides technology, administrative, and operational support to Providers and to partner practices.
- Independent medical judgment. Providers decide, using their own professional judgment, whether a service or treatment is appropriate for a patient. PepTech does not control or interfere with clinical decisions, and no treatment or prescription is guaranteed.
- No provider relationship with PepTech. Using the Services does not create a provider-patient relationship between you and PepTech. Any provider-patient relationship is between the patient and the treating Provider.
- Not for emergencies. Telehealth services are not for medical emergencies. Anyone with a medical emergency should call 911 or go to the nearest emergency room.
- Availability varies. Programs, services, and eligibility depend on state law, Provider licensure, and other requirements. A program described as available in a given number of states may still have services that are limited or unavailable in some states or for some patients.
- Partner practice responsibilities. If your practice offers a program under its own brand, you are responsible for your own licensure, scope of practice, supervision, patient communications, advertising, and compliance with healthcare laws, including laws on the corporate practice of medicine, fee splitting, referrals, and patient privacy, as set out in your Partner Agreement.
- Health information. Patient health information is governed by HIPAA and the treating Provider's Notice of Privacy Practices. See our Privacy Policy.
- No medical advice on this site. Content on the website is general business information, not medical advice.
8. Affiliate program
Affiliate commissions, tracking, and payment terms are set out in a separate affiliate agreement. Affiliates must clearly disclose their relationship with PepTech as required by the Federal Trade Commission's Endorsement Guides, must not make medical or human-use claims about RUO products, and must not use spam, misleading advertising, or our trademarks in paid search without written permission. We may withhold commissions earned through prohibited practices.
9. Orders, pricing, and shipping
Prices, minimum order quantities, payment terms, and shipping terms are provided in the partner portal or your Partner Agreement and may change. We may correct pricing or description errors and cancel affected orders. We may limit quantities and refuse to ship to certain locations where the law restricts a product. Returns and refunds are handled as stated in your Partner Agreement or the portal.
10. Communications
By giving us your contact information and checking the consent box on our forms, you agree that we may contact you by phone, text message (including messages sent using automated technology), and email about partner programs. Consent is not a condition of purchase. Message and data rates may apply. Reply STOP to stop texts, or use the unsubscribe link in any marketing email. You also agree that we may send you notices about your account and these Terms electronically.
11. Intellectual property
The Services, including text, graphics, logos, designs, and software, belong to PepTech or its licensors and are protected by intellectual property laws. You may view and use the website for your own business evaluation. You may not copy, modify, distribute, or create derivative works from it without our written permission, except as your Partner Agreement allows. "PepTech" and our logos are our trademarks. If you send us feedback, we may use it without obligation to you.
12. Prohibited uses
You agree not to:
- Use the Services for any unlawful purpose or in violation of these Terms.
- Give false information, impersonate anyone, or apply on behalf of a business you are not authorized to represent.
- Buy, resell, or promote RUO products for human or animal use.
- Interfere with the Services, probe or breach security, or introduce malware.
- Scrape, harvest, or collect data from the Services by automated means without our permission.
- Use the Services to build a competing product or service.
13. Third-party services
The Services may link to or use third-party tools, such as scheduling, payment, and shipping providers. We are not responsible for third-party services, and your use of them is governed by their terms.
14. Disclaimers
The Services and all products are provided "as is" and "as available." To the fullest extent the law allows, PepTech disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error free, or secure, or that any partnership will produce a particular business result. Any warranty on products is limited to what your Partner Agreement states.
15. Limitation of liability
To the fullest extent the law allows, PepTech and its owners, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to the Services or any product, even if advised of the possibility. Our total liability for any claim related to the Services will not exceed the greater of the amount you paid us in the 12 months before the claim arose or one hundred U.S. dollars ($100). Some jurisdictions do not allow these limits, so they may not apply to you in full.
16. Indemnification
You agree to defend, indemnify, and hold harmless PepTech and its owners, officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services; your breach of these Terms or any law; your products, brand, marketing, or customers; or any use of RUO products for human or animal purposes by you or anyone who obtains them from you.
17. Disputes and arbitration
[CONFIRM WITH COUNSEL.] Before filing a claim, you agree to contact us and try to resolve the dispute informally for at least 30 days. If it is not resolved, you and PepTech agree to resolve any dispute arising from these Terms or the Services through binding individual arbitration administered by [ARBITRATION PROVIDER] under its commercial rules, held in [CITY, STATE], except that either party may bring an individual claim in small claims court or seek injunctive relief for intellectual property misuse. You and PepTech waive any right to a jury trial and to participate in a class action or class arbitration. You may opt out of this arbitration agreement by emailing us within 30 days after first accepting these Terms.
18. Governing law
These Terms are governed by the laws of the State of [STATE], without regard to its conflict of laws rules. Subject to section 17, the state and federal courts located in [COUNTY, STATE] have exclusive jurisdiction.
19. Changes and termination
We may change these Terms by posting an updated version and changing the "Last updated" date. Material changes take effect 30 days after we post them or notify you, unless the law requires otherwise. Continuing to use the Services after that means you accept the changes. We may suspend or end your access to the Services at any time if you violate these Terms or if needed to protect PepTech or others. Sections that by their nature should survive termination will survive, including sections 5, 11, and 14 through 18.
20. General terms
These Terms, together with our Privacy Policy and any Partner Agreement, are the entire agreement between you and PepTech about the Services. If any part is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
